Acceptable Use Policy

This Acceptable Use Policy ("AUP") describes certain restrictions related to your use of websites owned or operated by Complexiti, Inc. ("Complexiti", "we", or "us"), Complexiti software and platform services hosted by or on behalf of Complexiti, Inc. and provided to you as a service, as well as any cloud services provided by Complexiti, Inc. (collectively, "Services").

Without affecting any other remedies available to us, we may permanently or temporarily terminate or suspend your access to the Services without notice or liability if we determine, in our sole discretion, that you have violated this AUP.

We may update this AUP from time to time in our sole discretion. Modifications will be effective upon their publication at complexiti.ai/aup. By using the Services, you agree to the latest version of this AUP.

1. Laws and Harmful Content

You may not use the Services, or allow others to use the Services, to violate any applicable law or regulation, including without limitation:

—    Data privacy laws and regulations

—    Copyright, patent, trademark, trade secret, or other intellectual property rights

—    Laws prohibiting fraud, false advertising, defamation, harassment, libel, or slander

—    Laws prohibiting the distribution of child exploitation material or non-consensual content

—    Laws prohibiting gambling, hacking, phishing, social engineering, or the transmission of malicious code

—    Laws prohibiting the unauthorised use of computing resources

In addition, and without limiting the foregoing, you may not use the Services, or allow others to use the Services:

(a)   In connection with any content or in any way that promotes, incites, or threatens violence; contains harassing content or hate speech; violates any person's rights to privacy or publicity; is misleading or deceitful; constitutes terrorism or trafficking in weapons or other illegal items; or is likely to result in retaliation against Complexiti's systems, network, or employees, including behaviour that results in any denial of service attack.

(b)   In violation of export laws, controls, regulations, or sanctions policies of the United States, the United Kingdom, or your applicable jurisdiction, including by disclosing any information about the Services to anyone located, organised, or resident in a country or territory that is the target of countrywide sanctions imposed by any relevant government sanctions authority.

(c)   In a way that would allow access to the Services by any person or entity involved with or suspected of involvement with: illegal gambling; terrorism; narcotics trafficking; arms trafficking; or the proliferation, development, design, manufacture, production, stockpiling, or use of nuclear, chemical, or biological weapons or weapons of mass destruction.

 

2. High-Risk Use

You may not use the Services in any circumstance or manner where a failure of the Services could result in death, physical injury, or material harm to individuals or regulated financial systems. The Services are designed to support banking exception resolution workflows and must be used in accordance with appropriate human oversight and governance frameworks at all times. 

Complexiti's Services are not a substitute for qualified human judgment in circumstances where regulatory requirements mandate human review, approval, or sign-off. You are responsible for ensuring that appropriate human oversight is maintained in all regulated workflows in which the Services are deployed.


3. Prohibited Financial and Regulatory Misuse

Given the regulated nature of Complexiti's Services and the financial institutions we serve, you may not use the Services:

—    To circumvent, override, or suppress any regulatory requirement, compliance obligation, or internal policy that applies to your organisation

—    To generate, falsify, or manipulate audit trails, compliance records, or regulatory submissions

—    To process or resolve exceptions in a manner that knowingly produces inaccurate, misleading, or non-compliant outcomes

—    To deploy the Services in a production banking environment without appropriate governance, testing, and regulatory approval processes in place

—    To use the Services as the sole basis for decisions that require qualified human review under applicable law or regulation

 

4. Spam and Unauthorised Communications

If you use the Services to transmit any communications, you must do so responsibly and in compliance with all applicable laws. Sending or promoting spam using the Services is prohibited and may result in immediate termination of your account.

You may not use the Services to send unsolicited commercial communications, phishing messages, or any communication designed to deceive recipients or obtain information through false pretences.


5. System Resources and Performance

You may not interfere with Complexiti's ability to provide Services to other customers, nor take any action that places excessive or unreasonable burdens on the network or systems used to provide the Services.

You may not perform any vulnerability or penetration testing of Complexiti's network, systems, or Services — including any hosted environment made available for your use — without our prior written approval.

You must not attempt to breach or circumvent the security of Complexiti's network, systems, Services, or software.


6. Regulated and Sensitive Information

The Services are designed to operate within regulated banking environments. You acknowledge that:

—    You are responsible for ensuring your use of the Services complies with all applicable data protection, financial services, and banking regulations in your jurisdiction

—    You may not use the Services to store or process Protected Health Information (as defined under HIPAA) unless Complexiti and you have signed a separate agreement explicitly permitting such use

—    You must ensure that any personal data processed through the Services is handled in accordance with applicable data protection law, including GDPR and UK GDPR where applicable

—    You are responsible for obtaining all necessary consents, authorisations, and regulatory approvals required to deploy the Services within your organisation's operating environment


7. Security Requirements

You must take reasonable and appropriate security precautions in connection with your use of the Services. This includes:

—    Maintaining appropriate access controls and ensuring that only authorised personnel access the Services

—    Promptly notifying Complexiti of any actual or suspected security breach, unauthorised access, or misuse of the Services

—    Ensuring that all authorised users of the Services are aware of and comply with this AUP

—    Implementing appropriate internal governance and oversight frameworks for the use of AI-assisted resolution in regulated workflows

 

You are responsible for the actions and omissions of your authorised users and anyone to whom you provide access to the Services.

 

8. Customer Content and Responsibility

You are responsible for any data, content, or information you upload to, or otherwise use with, the Services, and for your use of the Services in compliance with applicable laws, regulations, and the agreement between you and Complexiti for the Services (the "Agreement").

In order to provide the Services effectively and in accordance with applicable law and the Agreement, Complexiti may monitor and record your use of the Services, and you authorise Complexiti to collect, store, and use all such information in accordance with the privacy and other applicable provisions of the Agreement and our Privacy Policy.

 

9. Intellectual Property

You may not use the Services to infringe, misuse, or misappropriate any copyright, patent, trademark, trade secret, or other intellectual property right. It is Complexiti's policy to terminate the Services of users who are repeat infringers of intellectual property rights.

You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of any component of the Services, except to the extent expressly permitted by applicable law.


10. Enforcement and Consequences

Without affecting any other remedies available to us, Complexiti reserves the right to:

—    Immediately suspend or terminate your access to the Services for any violation of this AUP

—    Remove or disable any content or functionality that violates this AUP

—    Report suspected illegal activity to the appropriate authorities

—    Cooperate with law enforcement investigations relating to your use of the Services

Complexiti's failure to enforce any provision of this AUP on one occasion shall not be deemed a waiver of our right to enforce such provision in the future.


11. Updates to This Policy

We may update this AUP from time to time to reflect changes in our Services, applicable law, or industry standards. Any updates will be posted at complexiti.ai/aup with an updated date. Continued use of the Services following any update constitutes your acceptance of the revised AUP.
